Chapter 65 - The Manhattan War Room

At five o'clock in the morning, the penthouse suite of the Carlyle Hotel in Manhattan had been transformed into an operational headquarters.

Five corporate attorneys, three forensic accountants, and two former SEC investigators were gathered around the long dining table covered with open laptops, legal filings, and certified copies of the Boston ledger. Outside the floor-to-ceiling windows, the skyline of Manhattan was shrouded in cold gray mist, the towers of Midtown looming like distant granite monoliths.

Clara sat at the head of the table, wearing a tailored navy blue maternity dress with a sharp cream blazer. Her hair was pulled back into an immaculate knot. Her face was pale from lack of sleep, but her eyes were razor-sharp.

Beside her, Julian was reviewing a stack of blue-backed court motions.

"Calloway’s strategy is simple," Julian explained to the room, pointing at a timeline projected onto a flat screen. "At nine sharp, he convenes the extraordinary shareholder meeting on the forty-eighth floor of Calloway Tower. He will claim that Clara’s absence—or her failure to produce the original share certificates from Eleanor’s trust—triggers the emergency buyout clause established in nineteen ninety-four."

"Under that clause," Clara said, her voice commanding the room, "Calloway Global buys the remaining Pierce shares at thirty percent of book value, effectively extinguishing our family's voting rights forever."

"Exactly," said Henderson, Ethan’s senior legal partner. "And because Arthur controls the proxy votes of the three institutional board members—Vanguard Trust, Apex Capital, and Sterling Equity—he holds fifty-two percent of the current quorum. Even if Mrs. Clara shows up with her personal twenty percent, she can be outvoted."

"He doesn't have fifty-two percent," Ethan’s voice cut through the room.

He had just walked in from the adjoining terrace, holding a fresh cup of black coffee. He wore a bespoke charcoal three-piece suit, his posture radiating an unshakeable, lethal authority.

"Apex Capital’s proxy was reassigned at three this morning," Ethan stated, setting his coffee cup down with a sharp click. "Apex defaulted on a liquidity loan held by Vance Sovereign last month. Under section nine of their collateral agreement, their voting shares in all Calloway subsidiaries revert unconditionally to me."

Henderson looked up, astonished. "Ethan... that gives you eighteen percent."

"And Eleanor’s Boston trust, which was authenticated by the Suffolk County probate clerk two hours ago, controls twenty-two percent," Ethan continued. "Clara controls fifteen percent in her own right, plus the twelve percent Richard held in Geneva."

Clara did the mental arithmetic in an instant. Her pulse surged with fierce adrenaline. "That’s sixty-seven percent. A supermajority."

"Arthur Calloway doesn't own this company," Ethan said, looking around the table at the gathered team. "He is an employee operating under an expired stewardship contract. And in three hours, we are going to fire him."

Julian looked at Clara, concern softening his features. "Clara, you're seven months pregnant. The doctor in Geneva told you high-stress confrontations could induce early labor. Let Ethan and the legal team handle the board floor. You can sign the proxy documents from here."

Clara stood up. She placed both hands flat on the polished table, her gaze unwavering.

"No," she said, her voice ringing clear and resolute. "Arthur Calloway walked into my mother’s home, stole her firstborn son, drove my father to his grave, and spent the last year trying to destroy my husband, my inheritance, and my child. I am not hiding in a hotel suite while someone else takes back what belongs to my family."

She turned to Ethan. "We walk into that boardroom together."

Ethan looked at her for a long, silent moment. A rare, faint smile touched the corner of his lips—a look of profound respect.

"Then let's go take back our father's tower," Ethan said.
